The Board of Directors of the Institute consists of five members.

The president and two members of the Board of Directors are appointed by the Minister of Science, Education and Youth, one member is appointed by the Institute’s Scientific Board, and one member is appointed by the Institute’s employees.
 
The Board of Directors of the Institute:
 
  • adopts the statute of the Institute, with the consent of the founder;
  • pursues the financial and business policy of the Institute;
  • decides on managing assets or property of the Institute exceeding HRK 300,000 in value, with the consent of the supervising Ministry;
  • proposes changes in the Institute’s activity;
  • adopts the Institute’s budget upon the proposal of the Scientific Board and with the consent of the supervising Minister;
  • discusses the Institute’s budget execution reports (periodic and annual) submitted by the Director, and makes related decisions in accordance with legislation;
  • decides on allocation of profit;
  • adopts the by-law on additional conditions for appointment into scientific research posts upon the proposal of the Scientific Board;
  • decides on establishing other legal entities of the Institute, with the consent of the supervising Ministry;
  • makes individual decisions regarding work posts as a second-instance body;
  • gives the founder, Director and Scientific Board proposals and opinions regarding particular issues;
  • decides on other issues as stipulated by law, other regulations and the statute.
